The Emirate of Ajman is situated on the coast of the Arabian Gulf, extending over a distance of 16 kms. between the Emirate of Umm Al Quwain & Sharjah. It covers about 259 sq. kms. which is equivalent to the 0.3% of the country's total area.

The ruler of this Emirate is His Highness Sheikh Humaid Bin Rashed Al Nuaimi. It has a population of 215,000.

  • The Company should be registered within the GCC, with a GCC national/s owning majority share -holding of 51% or above.
  • At least 40% of the manufacturing process should be accomplished in the Free Zone.

Free Zone Entity (FZE)

FZE is an entity formed and registered in Ajman Free Zone and regulated by the Free Zone Authority, in accordance to the Amiri Decree No. 3 of 1988 as amended by the Amiri Decree No. 3 of 1996. FZE enjoys a separate legal entity and is owned (100%) by either a person or a corporate body. Such an entity must have capital equivalent to US $50,000. The Liability of the owner is limited to the amount of the share capital.

Free Zone Company (FZC)

Licenses under this category are issued to Free Zone Companies incorporated within the Free Zone in accordance with the Emiri Decree. Such a company enjoys a separate legal identity and the liability of its owner is limited to the value of the paid-up shared capital.

Branch of a Local Company (BLC)/ Branch of a Foreign Company (BFC):

Branch of a Local Company (BLC):

Licenses under this category are issued to companies holding a valid license from any UAE licensing authority except from other Free Zones.

Branch of a Foreign Company(BFC):

Licenses under this category are issued to companies established outside the UAE. The ownership of the company should be 100% foreign. However, sales can be made through a UAE registered agent or a distributor only. The activity may be commercial, industrial or professional /services.

DOCUMENTS REQUIRED FOR THE INCORPORATION AND REGISTRATION OF FZE BY A PROPRIETOR:

Any person or entity wishing to establish a FZE must complete an application form provided by the Authority and attach the following documents:

  • The feasibility study of the project and the anticipated schedule for its completion together with relevant plans and drawings (for industrial projects)
  • Passport copy of the proprietor.
  • A letter of statement indicating a deposit of US$ 50,000 in any UAE bank.
  • NOC from the existing sponsor certified by the official authority if the applicant is a resident of the UAE.


DOCUMENTS REQUIRED FOR THE REGISTRATION OF A FZC:

  • The Application form with the initial approval for the name of the company and its activity.
  • Articles of incorporation as per the Free Zone specimen duly completed and authenticated by the Free Zone Authority.
  • Bank certificate with capital of UAE Dhs. 500,000.
  • Passport copies of the shareholders and:
  • Copy of Articles of the company.
  • Power of Attorney duly legalized for the company representative with the authority to set-up and sign on behalf of the company

DOCUMENTS REQUIRED FOR THE REGISTRATION OF A B.L.C./B.F.C.:

The following documents must be attached with the application form:

  • The feasibility study of the project and the anticipated schedule for its completion together with relevant plans and drawings (for industrial projects).
  • Incorporation or Registration Certificate from the competent authority in the country where the company is registered.
  • The Memorandum and/or Articles of Association of the company.
  • Decision or resolution of the competent authority of the company authorizing it to invest or carry out the specific activity in the Free Zone and appointing a representative or a manager with Power of Attorney duly notarized and legalized to act on behalf of the company.
  • Copy of the passport of the representative or manager of the company.
  • The Chamber of Commerce and the UAE Embassy should certify document 2, 3 and 4 in the country where the company is registered.


WELL DEFINED AND EASY LICENSING PROCEDURES:

  • The Application form should be completed and submitted to the Free Zone Authority together with the documents.
  • The Applicant shall be informed of the decision of the Free Zone Authority within 5 days,
  • Once the applicant fulfills all the requirements and deposits the required fee, he will be granted and issued an appropriate license.
  • If the application is rejected, the Free Zone Authority will convey its decision stating the reasons for rejection to the applicant. The applicant may file an objection against such a decision within 15 days from the date of notification of the rejection.
